TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of the Ensemble Studios LLC website located at [https://ensemble-studios.com] (the “Site”). “Ensemble,” “we,” “us,” and “our” refer to Ensemble Studios LLC. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Changes to these Terms

We may update these Terms from time to time. The “Effective date” above indicates when these Terms were last revised. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

2. The Site is informational only

The Site is provided for general informational purposes about our studio and our work. The Site does not constitute professional advice, an offer to provide services, or a binding proposal. Any descriptions of services, methodologies, schedules, budgets, or outcomes are illustrative and may vary by project.

3. No client relationship created

Contacting us through the Site, including via forms, email links, or newsletter signups, does not create a client, fiduciary, or confidential relationship. A client relationship is created only through a fully executed written agreement signed by you and Ensemble.

4. Intellectual property

All content on the Site, including text, images, drawings, sketches, plans, renderings, photographs, videos, graphics, brand elements, logos, and other materials (collectively, “Content”), is owned by Ensemble or used with permission and is protected by intellectual property laws.

You may view and use the Site for your personal, non-commercial purposes. You may not copy, reproduce, modify, distribute, publicly display, create derivative works from, or otherwise exploit any Content without our prior written consent.

5. Permitted and prohibited uses

You agree not to:

  • Use the Site in any way that violates any applicable law or regulation.

  • Attempt to gain unauthorized access to the Site, servers, or systems.

  • Interfere with the operation or security of the Site (including via scraping, probing, or introducing malware).

  • Use the Content to create a competing product or service, or to misrepresent affiliation with Ensemble.

  • Remove or alter any copyright, trademark, or proprietary notices.


6. Portfolio, project imagery, and credits

The Site may include images, descriptions, or references to projects, concepts, collaborations, or work product. These may include work performed by Ensemble, by Ensemble team members in prior roles, or in collaboration with third parties, and may be subject to client confidentiality, publicity restrictions, approvals, and licensing limitations. Unless explicitly stated otherwise, images and project narratives are provided for illustrative purposes and do not grant any rights for reuse.

7. User submissions

If you submit information through the Site (for example, an inquiry, résumé, portfolio, or other materials), you represent that you have the right to share it. Unless we have a separate written agreement with you, you agree that:

  • Your submission is not confidential and may be used to respond to your inquiry and evaluate potential engagement, employment, or collaboration.

  • You grant Ensemble a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your submission as reasonably necessary to operate our business processes (for example, internal review and communication).

  • We are not obligated to review or retain submissions.

8. Third-party links

The Site may contain links to third-party websites or services. We do not control and are not responsible for third-party content, policies, or practices. Access third-party sites at your own risk.

9. Disclaimer of warranties

THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENSEMBLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENSEMBLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL ENSEMBLE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE EXCEED USD $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Ensemble and its members, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or misuse of the Site.

Our collection and use of personal information is described in our Privacy Policy. By using the Site, you agree to our privacy practices.

13. Copyright complaints

14. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any dispute arising from or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.

15. Miscellaneous

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

  • No waiver: Failure to enforce any provision is not a waiver.

  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

  • Entire agreement: These Terms constitute the entire agreement between you and Ensemble regarding the Site and supersede any prior or contemporaneous communications on that subject.
